TERMS AND CONDITIONS (as of March 11th, 2025)

Please read and accept the TERMS & CONDITIONS (T&Cs) before completing your account with Templetech Finance Corp Doing Business Under the Names Tendo and Tendo by Tonik (“Tendo”, “Templetech”, ”we”, “us”, or “our”).

These T&Cs govern the use of financial services provided by Templetech

These T&Cs are an agreement (“Agreement”) between you (“Applicant”, “User”, “Active User”, (subject to you qualifying as a User and Active User pursuant to these T&Cs), “you” or “your”) and Tendo, a corporation duly organized and registered under the laws of the Republic of the Philippines, and duly licensed as a financing company (SEC Certificate of Authority No. 1228), which provides the Tendo application and website (the “Platform” or “Tendo Platform”). The Platform is offered to you conditioned on your agreement to the T&Cs. Your use of the Platform constitutes your agreement to all such terms, conditions, and any rules of conduct as Templetech may implement.

By applying for and using the loan products and services available in Tendo mobile application and website, you agree to be bound by these Terms.

Access to and use of the Platform allows users to obtain loans (the “Loan”). These T&Cs govern your use of the Tendo Platform while loans obtained by using the Tendo Platform will be governed by the General Terms and Conditions (https://tonikbank.com/general-terms-and-conditions), Loan Terms & Conditions (https://tonikbank.com/loans-terms-and-conditions) and other loan documents from Tonik Digital Bank Inc., the loan provider (“Tonik”). Templetech may also provide additional services (the “Additional Services”), with the use of the Platform. The provision of such Additional Services may be subject to separate charges.

The borrower is required to pay back the loan plus the Service Fee and interest, as applicable, according to the repayment schedule indicated in the Disclosure Statement, and Loan Agreement at the time of the loan offer. The terms of each loan, including the amount, repayment schedule, interest, and Service Fee will be displayed at the loan offer and in the Disclosure Statement, which shall be distributed before the consummation of the loan transaction. However, charges from third-party providers such as transfer providers, network operators, and/or other money transfer fees are not included in the amount charged by Tonik.

Templetech reserves the right to amend, change, and/or modify these T&Cs from time to time without any advance notice. Should there be material changes to the T&Cs, you shall be promptly notified via e-mail and/or in-app. You are strongly recommended to regularly review and read the T&Cs. Any changes to these T&Cs will be effective immediately upon posting on the website and in the Tendo Platform, with an updated effective date. By using the Tendo Platform after any changes have been made, you acknowledge your agreement to the modified T&Cs and all the changes made therein. If you do not agree with the modified T&Cs, please refrain from using the Tendo Platform and from availing of the loan, Services, and Additional Services, as applicable.

You likewise agree that the provisions, disclosures, and disclaimers set forth herein are fair and reasonable and that your agreement to follow and be bound by these T&Cs is voluntary and is not a result of fraud, duress, or undue influence exercised upon you by any person or entity.

DEFINITIONS AND INTERPRETATION.

As used in this T&Cs, the following words, terms, and expressions used shall have the meanings ascribed to them:

“Templetech Finance Corp.” is a company registered in the Philippines and authorized by the Securities and Exchange Commission (SEC) to operate as a financing corporation offering loan products and installment payment options under the brand of Tendo.
“Tendo” is the brand of Templetech Finance Corp. offering installment payment via its proprietary payment method referred to as “Tendo”
“Tonik Digital Bank Inc.” is a company registered in the Philippines and regulated by the Bangko Sentral ng Pilipinas (BSP) to operate as a digital bank offering retail financial products such as deposits, loans, savings accounts, payments, and cards. Tonik Digital Bank shall grant all loans approved in the Tendo Platform starting March 01, 2025
“Applicant” is a person completing the account registration and application process of Tendo. An applicant is a person still undergoing the verification process, not eligible to make purchases on partner merchant websites via Tendo until verified and approved.
“Checkout option” means one of the options to buy products online in installments with Tendo. Users can make a purchase via the checkout option by selecting Tendo payment method available at the checkout on the partner merchant website.
“Voucher” one of the options to buy products online on installments with Tendo. Users can make a purchase via the voucher option by purchasing a voucher from a selected partner merchant with a selected denomination on www.tendo.ph. Purchased vouchers can only be used and applied on selected partner merchant websites.
“Partner Merchant” e-commerce website, which is offering Tendo as one of its payment options.
“User” applicant verified and approved by Templetech Finance Corp., eligible to make purchases on partner merchant websites via Tendo.
“Active User” A user that made a purchase via Tendo and has at least one active loan (i.e. not fully repaid the loan with outstanding balance).
“Dashboard” User’s dashboard accessible after logging in to the User’s account on app.tendo.ph with the overview of the completed purchases and their details (e.g. due dates and repayment amounts).
“Due Date” date determining the deadline of repayments and other fees/sums due and payable by the User to Templetech Finance Corp. and if applicable, including payment of arrears in semi-monthly repayments and/or such other sums in arrears by the User. Due dates will be stated in the communication with the User and available in the User’s Dashboard.
“Repayment” the amount specified in the communications with the user and the user’s dashboard. Semi-monthly Repayment is payable twice a month on the Due Date stated in the User’s Dashboard and other communication with the User.
“First payment” percentage of the value of the purchased product, which needs to be paid up-front in order to complete the transaction and obtain the loan.
“Personal Information” means the Applicant/User/Active User’s phone number, name, date of birth, identification number or passport number and/or such other information deemed to be personal data and/or personal information pursuant to the Data Privacy Act of 2012 and its Implementing Rules and Regulations
“Data Privacy Policy” means the Tendo privacy policy that sets out the basis on which Tendo collects and processes the Applicant/User/Active User’s Personal Information.
“Terms and Conditions” / “T&Cs” has the meaning set forth above
“Services” shall include any form of services or products that Tendo to which the Applicant/User/Active User may from time to time subscribe to.
“Loan” A financial product provided directly by Tendo, or by Tonik, to Borrowers under agreed-upon repayment terms.
“Late Payment Fee” means the late fees applicable if the Active User fails to make any payments due to Tendo at the due date for such payment.
“Interest Rate” The percentage charged on the principal amount borrowed.
“Service Fee” The fee applicable to loan processing and maintenance.
“Disclosure Statement” A document issued to the Borrower outlining loan terms, interest rates, fees, and repayment obligations.
“Platform” The online system provided by Tendo for loan applications, management, and repayments. It is accessible by the users via downloadable mobile applications or the website.
“Applicable Law” Any statute, regulation, or directive governing this agreement, including but not limited to the Data Privacy Act of 2012 and SEC and BSP Regulations.

In addition to the above definitions, unless the context requires otherwise, the singular shall include the plural and vice versa; a reference to any one gender, whether masculine or feminine, includes the two; all the headings, subheadings, and bullet points in this T&Cs are for convenience only and are not to be taken into account to interpret it; the recitals and schedules shall be deemed to form part of this T&Cs.

    INTRODUCTION
  1. You must carefully read and understand the T&Cs as amended from time to time. You will be deemed to agree to the T&Cs upon clicking the “accept” option on the Tendo Platform asking you to confirm that you have read, understood, and agreed to abide by the T&Cs. If you do not agree with the T&Cs, please click the “Cancel” option. Please note that you will not be able to access the Services if you click the “Cancel” option.
  2. This Document sets the general terms and conditions applicable to the usage of Tendo Services.
  3. This document may be executed and delivered by electronic means and upon such delivery, the electronic signature/consent will be deemed to have the same effect as if the original signature had been delivered to the other party.
  4. By signing this document all parties agree that they have read and agreed to all the Terms & Conditions, Data Privacy Policy, and other materials provided by Tendo
  5. By using the Tendo Platform or any of the services, we offer you consent to us collecting and using technical information about the equipment and related software, hardware, and peripherals for the services that are internet-based or wireless to improve Tendo’s products and to provide any services we offer to you. If you use these services, you consent to Templetech’s and our affiliates’ and licensees’ transmission, collection, retention, maintenance, processing, and use of your personal information and/or relevant data in connection with Templetech’s credit scoring services and/or to improve Templetech’s services and/or your experience while using the Tendo Platform.
  6. APPLICANT/USER ELIGIBILITY AND OBLIGATIONS
  7. By applying for a loan, you represent and warrant that:
    1. All information provided to Tendo is accurate, complete, and truthful.
    2. You are strictly prohibited from impersonating any person or misrepresenting your identity.
    3. You understand and agree to the loan terms, including repayment obligations, fees, and interest rates.
    4. You are legally capable of entering into this agreement and not subject to any legal restrictions that prevent you from obtaining a loan.
    5. You will not use the platform or loan proceeds for illegal or prohibited activities.
  8. Tendo is available to all Filipino citizens who are at least eighteen (18) years of age.
  9. Tendo is available in the areas/regions indicated in the Application Form.
  10. Applicants must submit all required documents and share required information to be eligible for verification in accordance with Know-Your-Customer requirements which will be used to determine your eligibility to use the Tendo Platform, such as but not limited to:
    • First Name
    • Last Name
    • Mobile Number
    • Email Address
    • Name of Employer, Status of Employment, Salary
    • Government I.D.
    • Selfie
    • Date and Place of Birth
    • Present and Permanent Address
  11. You represent that all information which you will provide is true and accurate. You will keep your information up to date by informing us of any change/s through the management of your account.
  12. By registering an account, you represent that you are at least eighteen (18) years old. You are responsible for providing correct registration information.
  13. Only approved applicants will be able to use Tendo Services. We reserve the right to request additional information to aid in account verification, as well as close, suspend, or limit your access to the Tendo Platform in the event of incomplete or incorrect information being provided.
  14. Applicant/User shall keep his/her information up to date. In case you change the provided Email address you shall immediately modify it in your Dashboard. In case any of the provided information is changed you shall immediately notify Templetech by sending an e-mail to [email protected]
  15. Templetech’s acceptance of your loan application will be displayed on the Tendo Platform. Templetech reserves the right to decline your loan application or to revoke the same at any stage at Templetech’s sole and absolute discretion and without assigning any reason or any notice thereto. Templetech reserves the right to issue or decline to issue a loan and/or vary the terms of the loan depending on Templetech’s assessment of the credit profile of each borrower from time to time.
  16. Applicant information will be verified by the loan officer from Tendo. To confirm the submitted information, a loan officer will call the Applicant and the nominated Reference Contact (RC).
  17. Applicant/User/Active User expressly and unconditionally consents to the access, possession, collection, storage, processing, use, analysis, and/or distribution, disclosure, display, and delivery of any information (including Personal Information) related to Applicant/User/Active User, and to the transfer of such information for any lawful purpose to any third parties, including, but not limited to, (a) the organizer/operator of payment facility, (b) credit bureau (e.g. Credit Information Corporation("CIC")), private credit bureau, and other government bodies/agencies, and (c) any purchaser (or potential purchaser) of Templetech’s title, rights, and/or interests, in whole or in part, in the Loan Agreement/s to third parties, such as Tonik Digital Bank Inc.
  18. Such TPC and RC may be changed by the Applicant/User/Active User from time to time, for the purpose of:
    1. verifying any or all information about the Applicant/User/Active User (whether submitted by the Applicant/User/Active User or obtained from other sources) prior to, during and after the application, approval, and termination of the Loan Agreement;
    2. inquiring about, requesting for, ascertaining or determining the whereabouts, contact information, financial status, and other related information of the Applicant/User/Active User (including making such inquiries as part of the loan collection process);
    3. requesting for information regarding any fraud, theft, or other investigation related to any suspected or actual criminal action or activity, in each case for the review, processing, approval, administration, collection, servicing, sale, transfer, amendment, or such other matters in relation to an existing or future Loan, which shall be implemented, in accordance with any mandatory applicable law or regulation as the same may be issued from time to time.
  19. Applicant/User/Active user expressly and unconditionally consents to the access, possession, collection, storage, processing, use, analysis and/or distribution, disclosure, display, and delivery of any information (including Personal Information) related to Applicant/User/Active User, and to the transfer of such information to any third parties, including, but not limited to, the organizer/operator of payment facility, credit bureau (e.g. Credit Information Corporation("CIC")) and other government bodies/agencies.
  20. Only ONE account is allowed per person. Active Users/Users/Applicants are prohibited from creating more than one account. In such case, Active User/User/Applicant will be rejected from the application or subject to the termination of service.
  21. Applicant/User represents that he/she does not have any criminal record.
  22. Applicant/User represents that he/she voluntarily enters into a Loan Agreement with Templetech or Tonik, as the case may be.
  23. Applicant cannot make any purchases via Tendo until his/her account is verified and approved. Verification is conducted by the internal Tendo team. Tendo reserves the right to decline any applicant without providing a reason. Tendo reserves the right to decline the loan application or to revoke the same at any stage at Tendo’s sole and absolute discretion and without assigning any reason or any notice thereto. Tendo reserves the right to issue or decline to issue a loan and/or vary the terms of the loan depending on Tendo’s assessment of the credit profile of each borrower from time to time. The terms of the loan will be displayed on the Platform, the Disclosure Statement, and the Loan Agreement.
  24. Once an applicant is approved, the applicant effectively becomes a User. The User is eligible to make purchases via Tendo on partner merchants’ online stores within granted amount limits and Loan conditions.
  25. You agree to maintain updated contact details and notify Tendo of any changes.
  26. Borrower understands that it is his/her obligation to repay loans on time and in full to avoid penalties and negative credit records.
  27. You will use the Platform in compliance with all Applicable Laws and regulations.
  28. Once a User purchases via Tendo, he/she becomes an Active User. Once the loan is settled (i.e. all the outstanding obligations are fully paid), the status of the “Active User” changes back to “User”.
  29. If the User remains continuously inactive (i.e. does not make any purchases via Tendo) within twenty (21) days at any given time, Templetechreserves a right to change the User’s status to Applicant, effectively disabling the User’s account.
  30. Tendo reserves the right to lower or increase customer credit limits due to proprietary risk engine decisions.
  31. Tendo reserves the right to disable your account at any time, especially if you fail to follow these Terms, the Privacy Policy or any guidelines published by Tendo. We can also disable your account if we discover that your account is being used for activities that we think may cause damage to Tendo, violate any rights of other people, or violate any laws.
  32. If you no longer want to use Tendo and you would like your account deleted, please send a message to [email protected]. When you choose to delete your account, you will not be able to use our Platform. Pursuant to applicable laws, we will retain your information in our system for at least five (5) years from the date of account termination or last transaction with us.
  33. LOAN AGREEMENT
  34. Starting March 01, 2025, all loan agreements will be between the Borrower and Tonik Digital Bank, Inc. and shall be governed by terms indicated at https://tonikbank.com/loans-terms-and-conditions and https://tonikbank.com/data-privacy-statement
  35. You may only use the loan for personal, family, or household purposes. Any misuse of funds may result in legal action or restrictions on future loans.
  36. Interest rates and fees are disclosed in the Loan Disclosure Statement provided upon approval.
  37. An installment sale is a loan agreement between Tendo, or Tonik as the case may be, and the Active User, who made a purchase on one of the partner merchant online stores via Tendo (checkout option) or purchased a partner merchant voucher on www.tendo.ph (referred to as “Loan Agreement”). Once a User makes such a purchase, he/she effectively becomes an Active User.
  38. The Loan period and/or repayment plan will be selected by the User at the moment of the purchase.
  39. Repayment schedules, due dates, and acceptable payment methods are detailed in the Loan Agreement.
  40. Late or missed payments may result in additional penalties and reporting to credit bureaus.
  41. You may prepay the loan in full or in part without penalties unless otherwise specified in the Disclosure Statement.
  42. Prepayments are applied first to outstanding interest, fees, and then the principal balance.
  43. To complete the transaction and obtain the loan, the User needs to settle the first payment at the moment of the purchase. The first payment amounts to the percentage of the value of the purchased product and depends on the User’s risk profile. First payment can be settled via indicated payment methods (e.g. debit card, credit card, GCash, etc.) at the moment of the purchase. The first payment applies both to the products purchased via the checkout option and the voucher purchase.
  44. By successfully settling the first payment, the User agrees to the terms of the loan.
  45. In case of a purchase of a voucher, the Loan Agreement becomes effective at the moment of purchasing the voucher, not using the voucher on the selected partner merchant's website.
  46. The initial outstanding balance is equal to the sum of the value of the purchased product excluding the first payment, any fees charged by the partner merchant (e.g. delivery fee), interest, and service fee charged by Tendo for processing the purchase. All fees are disclosed to the User at the moment of purchase.
  47. Once a purchase is made, the overview of the Loan Agreement indicating the information such as the amount outstanding, monthly repayment, and due dates shall be communicated to the Active User.
  48. Active users must make each repayment on or before the Due Date. Due dates will be clearly stated in the communication with the user and in the user’s dashboard. If a User does not make a repayment on or before the Due Date, Templetech will charge an additional Late Payment Fee.
  49. Late Payment Fee will apply if an Active User does not make a repayment on or before the due date. For any overdue repayments, a Late Payment Fee will apply. All applicable late payment fees and the method of calculating these fees will be included in the Disclosure Statement and Loan Agreement.
  50. Active Users can make the repayment (in full or partial amount) before the due date at any time without any additional penalty fees. All early repayments will be first applied to any outstanding repayments, then to any late payment fees, and only then to the outstanding balance.
  51. DEFAULT AND REMEDIES
  52. Default occurs when you fail to meet payment obligations or provide false information.
  53. In case of default, Tendo may take legal action, report delinquency to credit bureaus, and initiate collection processes.
  54. In the Event of Default, the User agrees to pay all reasonable legal fees, collection, and enforcement charges to the extent permissible by law in addition to other amounts due.
  55. Each of the following events constitutes an Event of Default, irrespective of the reason for its occurrence, whether it is voluntary or involuntary, or whether it occurs as a result of any court order, law, or regulation:
  56. The Active User breaches or otherwise fails to promptly perform any of his/her obligations under this Agreement.
  57. Any event which, in the reasonable opinion of Tendo, would result in the likelihood that any of the Active User’s obligations under the Tendo Inc. Terms and Conditions will not be performed or fulfilled, including but not limited to:
    1. Borrower’s failure to fully repay the Loan on the agreed Payment Date, together with any interest, fees, and/or charges and any other amounts owed and payable by the Borrower under this Agreement;
    2. Any event which may materially affect the Borrower’s capacity to repay the Loan;
    3. Death or incapacity of the Borrower;
    4. Borrower breaches any of his/her representations and warranties, or covenants; and
    5. Any change in any law or regulation that affects the validity or enforceability of this Agreement.
  58. Upon the occurrence of an Event of Default, Templetechmay, at its sole discretion, without the need of notice or demand, and without limiting Tendo’s rights under applicable law or this Agreement, and General these Terms and Conditions:
    1. Be entitled to the disclosure of the Borrower’s identity, including other relevant information necessary for the enforcement of this Agreement and the collection of all outstanding amounts due and payable in connection with the Loan, and the Borrower hereby expressly grants its irrevocable consent to the disclosure of such information to the Lender to be further used and disclosed, following applicable laws;
    2. Declare that the Borrower's entire credit obligation, which includes the outstanding amount of the Loan and the unpaid principal and accrued interests, penalties, and other charges as provided in the Disclosure Statement, shall become immediately due and payable on the immediate pay cycle without presentment, demand or notice of any kind, which the Borrower hereby expressly waived;
    3. Declare this Agreement, including all charges, fees, penalties, and interest accrued and unpaid thereon, to be immediately due and payable without need of presentment, demand, protest, or further notice of any kind, all of which are herein expressly and specifically waived by the Borrower;
    4. in addition to the interest, impose and collect from the Borrower a Late Payment Penalty Fee and a Daily Late Payment Penalty Interest, from the non-payment from the Maturity Date/Due Date until the outstanding balance is fully paid, as set out under the attached Disclosure Statement;
    5. Without prejudice to the Late Payment Penalty, sell, transfer or assign any of its rights and obligations hereunder to any person, company, or entity, without prior consent from the Borrower. Any such sale, assignment, or transfer shall conclusively bind the Borrower. The Borrower’s obligations remain unchanged regardless of any transfer of rights. The Borrower shall be bound to fulfill and perform all his/her obligations to such transferee or assignee, including the payment of the unpaid amounts due and payable in connection with the Loan, as well as all charges, fees, and penalties, as may be applicable. The transferee or assignee shall have the authority to collect the due amounts from the Borrower; and
    6. Take such other actions and exercise such other remedies, power/authorities, or discretions to protect and enforce its rights under this Agreement and the Law.
  59. Upon the occurrence of an Event of Default, all outstanding balance and not settled repayments of the Active User with Tendo shall become due and demandable.
  60. The rights available to Tendo under this Agreement and applicable law, may be exercised by Tendo alternatively, successively, concurrently, and/or cumulatively, at the option of Tendo.
  61. ADDITIONAL CHARGES AND FEES
  62. Late Payment Fee shall apply if an Active User does not make payment by the due date. For any overdue repayments, the Late Payment Fee shall apply. All applicable late payment fees and the method of calculating these fees will be included in the Disclosure Statement and Loan Agreement.
  63. If the Active User continues not to settle the outstanding balance and any other fees, such account will be transferred to Tendo’s third-party debt collection agent.
  64. REPAYMENT
  65. Tendo, or any authorized third-party collection agent, may engage in lawful collection activities, including:
    1. Contacting borrowers through email, phone calls, SMS, and registered mail.
    2. Coordinating with employer payroll departments for salary deductions (if applicable).
  66. Borrowers who fail to settle outstanding balances may be reported to credit bureaus and may face legal action.
  67. All repayments made by the Active User shall be following the stipulations under the Loan Agreement and must be made through third parties designated by Tendo. The list of all repayment channels is available on the Tendo website.
  68. Tendo shall not be held liable for, and the Active User bears the risk of any delay or failure in crediting or accepting any payment to Tendo, due to any event or circumstance including but not limited to, the closure, non-functioning, or malfunctioning of the Payment Channel.
  69. DATA PRIVACY, PROCESSING, AND USE OF INFORMATION
  70. Tendo shall keep all borrower information confidential and shall not disclose personal data except as required by law or with the borrower’s consent.
  71. By using our services, you consent to the collection, processing, and sharing of your data for loan assessment, credit scoring, and compliance with regulatory requirements under the Data Privacy Act of 2012.
  72. Applicant/User/Active User expressly agrees and consents to the use by Tendo of any Personal Information provided by the Applicant/User/Active User or otherwise obtained by Tendo under this agreement (i) for the purposes set forth herein and (ii) to the extend Tendo otherwise determines is necessary and/or advisable, in its sole discretion, to comply with the applicable law.
  73. Tendo reserves the right to request further information from the Applicant/User/Active User pertaining to the loan application at any time. Failure to provide such information within the time required by Tendo may result in declining to accept the loan application. Failure to provide evidence of identity may be deemed by Tendo as a possible fraudulent attempt to access the Tendo Platform and/or the Services.
  74. Applicant/User/Active User authorizes Tendo, directly or through its Partners, to collect, retrieve, process, use, and store his/her Personal Information such as name, age, photographs, fingerprints, other biometric data (e.g., facial recognition and voice recognition), mobile number/s, mobile phone usage data, employment details, income, financial data, financial profile, credit standing, loan payment history, and other information required in the application form. The Applicant/User/Active User's Personal Information will be processed for credit investigation, credit scoring, data analytics, collection, automated processing of the loan, collecting, data profiling, and direct marketing of products and services of Partners.
  75. Applicant/User/Active User expressly consents to the collection and processing of Personal Information about and/or relating to the Applicant/User/Active User, and to the transfer of such information to third parties including without limitation any of the affiliates or subsidiaries of TendoPay, credit bureaus, private credit bureaus, government agencies, and collection agencies.
  76. For purposes of collection, Tendo shall keep strictly your confidential data, except for the following circumstances:
    1. Disclosure of information with your written or recorded consent;
    2. Release, submission, or exchange of your information with other financial institutions, credit information bureaus, their agents, and/or representatives;
    3. Upon orders of a court of competent jurisdiction or any government office or agency authorized by law;
    4. Disclosure to collection agencies, counsels, and other agents of Tendo to enforce Tendo’s rights against you;
    5. Disclosure to third-party service providers solely to assist or render services to Tendo in the administration of its lending business; and
    6. Disclosure to third parties such as insurance companies, solely to insure Tendo from your default or other credit loss, and you from fraud or authorized charges.
    7. As part of the application process Applicant/User/Active User is obliged to accept Tendo’s Data Privacy Policy.
  77. All terms in our Privacy Notice shall form an integral part of this agreement.
  78. SHIPPING AND DELIVERY OF THE PURCHASED PRODUCT
  79. Shipping and delivery of the product purchased by the User via Tendo is the responsibility of the merchant partner.
  80. Tendo is solely a payment processing provider and it is not responsible for the shipping and delivery of the product purchased by the User. Tendo is also not responsible for the quality/customer satisfaction/warranty and any other elements associated with the characteristics of the purchased product.
  81. The Tendo Platform is provided on an “as is” basis. Templetech makes no warranties that the service shall be uninterrupted or error-free. Templetech disclaims all representations and warranties to the Tendo Platform including but not limited to the warranties of merchantability and fitness for a specific purpose. The Customer assumes all risks associated with the use of the Tendo Platform, any information available and/or accessed through the Tendo Platform, and any security features provided for the Tendo Platform.
  82. REGULATORY COMPLIANCE
  83. Tendo is a BSP-, SEC- and AMLC-supervised institution and complies with all applicable laws, including the Anti-Money Laundering Act (AMLA).
  84. Tendo conducts Know-Your-Customer (KYC) procedures and reports covered and suspicious transactions to the Anti-Money Laundering Council (AMLC) when necessary.
  85. REFUND AND REPLACEMENT
  86. The binding refund and replacement policy is the one provided by the partner merchant. Active User needs to follow the refund and replacement policy as provided in the partner merchant’s website at which where the product was purchased.
  87. If the partner merchant confirms that the purchased product was returned and refunded, Tendo shall cancel all further settlements with the Active User.
  88. If the partner merchant confirms that the purchased product was returned and refunded, Tendo shall return the first payment amount settled by the Active User, if any. The first payment amount would be transferred back to the indicated bank account or Gcash account by the Active User.
  89. POSSESSION
  90. Loss or damage of the purchased product via Tendo does not release the User from his/her obligations under the terms of this agreement.
  91. In the case of default, Tendo has the right to repossess the product purchased by the User.
  92. COMMUNICATIONS
  93. All official messages or communications sent to the Applicant’s/User’s/Active User’s Registered Contact Details, via email, SMS, or other electronic means, provided to Tendo are considered to be duly received by the Applicant/User/Active User if the message is sent by Tendo to the registered email address or phone number. You are responsible for maintaining updated contact information. Failure to receive notices due to outdated details does not exempt you from obligations.
  94. Once the message is sent by Tendo to the email address or phone number registered, Tendo is no longer responsible for its security, confidentiality, or any acts of any respective service providers (email service provider, mobile operator), nor any acts caused by unauthorized use of the provided email address or phone number.
  95. Applicant/User/Active User has a responsibility to secure his/her username, password, electronic signature, and other identification factors provided by Tendo. You shall ensure that your credentials do not become known or come into possession of any unauthorized person. Tendo shall not be liable for any disclosure of your credentials to any third party and you hereby agree to indemnify and hold Tendo harmless from any losses resulting from any disclosure of your credentials. If you know or suspect that another person knows your password or has used your Tendo Account, you must inform us immediately at [email protected]
  96. Applicant/User/Active User is obliged by his/her own cost, to fully equip and regularly maintain his/her machinery, connection equipment, system software, and application software to be able to safely use Tendo online services.
  97. For Tendo to render prompt and accurate service, the Applicant/User/Active User authorizes Tendo to record (without Tendo being necessarily obligated to do so) any and all telephone conversations between Applicant/User/Active User and Tendo, regardless of who initiated the telephone conversation. Such authorization to record includes but is not limited to, recording of instructions, statements, complaints, inquiries by the Applicant/User/Active User, and information regarding Tendo.
  98. Tendo may use the recorded telephone conversation as proof of Applicant’s/User’s/Active User’s acceptance of any offer or additional or revision of terms made through telephone.
  99. Tendo may also use such recordings for any legal purpose, particularly as evidence in any judicial or administrative hearing or proceeding.
  100. TENDO REFERRAL PROGRAM
    1. This T&Cs is an agreement (“Agreement”) between you (“Applicant”, “User”, “Active User”, “you” or “your”) and Templetech, and sets forth the terms and conditions for the User's participation in the Tendo Referral Program (“Referral Program”), available under the Tendo application and website (the “Platform” or “Tendo Platform”). The Platform is offered to you conditioned on your agreement to the T&Cs. Your use of the Platform constitutes your agreement to all such terms, conditions, and any rules of conduct as Templetech may implement. These Terms are subject to, and shall also include, the Terms and Conditions and the Privacy Policy, as such terms may be amended from time to time following the terms therein.
    2. PLEASE READ THESE TERMS CAREFULLY BEFORE PARTICIPATING IN THE REFERRAL PROGRAM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT PARTICIPATE IN THE REFERRAL PROGRAM.
    3. By participating in the Referral Program, you agree to be bound by these Terms. You represent that you are over 18 years old or older, you have no legal impediment and you have the authority to enter into this agreement personally or on behalf of the legal entity you represent and to bind that legal entity to this agreement.
    4. You agree in good faith to the following obligations and duties:
    5. The Program. The Referral Program allows Users to earn credit to redeem rewards by referring friends to become new Users on the Platform. The Referral Program will be provided to you at no cost, but you must have a Tendo account to participate. You must comply with these Terms, and the referred third-party or individual must register a new account with the Referral Code (defined below) on the Platform during the promotion (“Referral Code”) to track the Referral under the Referral Program. The Referral Period during which the eligible Users and Referrals can participate in the Referral Program shall be determined by Templetech and it may be modified at Templetech’s sole discretion. Templetech will provide you with a custom referral code.
    6. Eligible Referral. A referral qualifies as an eligible Referral as long as the following conditions are met (a “Referral”):
      1. the Referral is not an already existing User on the Platform;
      2. the Referral creates a new account on the Platform through a User's Referral Code;
      3. the Referral must be a resident of the Philippines;
      4. the Referral must create a new account with the User's Referral Code during the Promotion Period;
      5. and the Referral must create their first successful purchase (including the User), at the time Referral creates a new account;
      6. the User and Referral must be an employee of the selected partner companies of Tendo.
    7. Rewards. For each Referral, Tendo will award the User credit as described on the specific program’s page on the Platform. The User may redeem such credit for certain rewards (each, a “Reward”). Refer to the specific program’s page on the Platform for details on the Rewards. At the completion of each referral, Tendo will review activity on the Referral’s account, to verify that there has been no fraudulent activity. The distribution of the Reward may be delayed due to the review period, but the Reward will be delivered no later than 30 days after redemption.
    8. Sharing Referral Codes. Referral Codes should not be published or distributed on commercial websites (such as coupon or deal websites or forums) or on blogs. Referral Codes may not be sold and should only be distributed free of charge for promotional purposes. Users are prohibited from spamming others with referral invitations, including through mass emailing, texting, or messaging people they do not know with automated systems or bots through any channel. Users are prohibited from paying to advertise their Referral Codes. Users may not mislead or attempt to mislead anyone in connection with the Referral Program. A Referral may only use 1 referral code. If the Referral receives multiple Referral Codes from Users, only the last Referral Link will count toward the Referral.
    9. Reservation of Rights. Tendo reserves the right to any remedy, including canceling your or Referral’s account, if fraud, tampering, technical errors, or violations of these Terms or the Terms and Conditions are suspected.
    10. Termination and Updates to Terms. Tendo may suspend or terminate the Referral Program, or the User's or Referral’s ability to participate in the Referral Program at any time in its sole discretion. Your participation in the Referral Program is completely voluntary. Tendo may also modify or update the terms of the Referral Program or the Rewards, or this Agreement at any time in its sole discretion. The modified or updated terms will be posted and effective upon posting, or otherwise as dated.
    11. Parties’ Relationship. Your participation in the Referral Program does not imply any agency, representation, sponsorship, or endorsement between Tendo and you.
    12. Tendo’s Promotional Activities. By participating in the Referral Program, you agree that Tendo may display your name or any other information regarding your activity or participation in the Referral Program. By participating in the Referral Program, you agree to allow Tendo to display, publish, broadcast, and use, on our Platform and at any time, your name and/or likeness for promotional, marketing, or related purposes without additional compensation.
    13. Confidentiality. Any information about Tendo, or its products, including the Platform and the Services, that is made available to you under this Referral Program, including but not limited to this Agreement, that is not otherwise publicly available is Tendo's confidential information (“Confidential Information”). You agree not to disclose Tendo's Confidential Information to any third party under any circumstance unless approved in writing by Tendo.
    14. DISCLAIMER. OTHER THAN AS EXPRESSLY SET OUT IN THIS AGREEMENT, TENDO DOES NOT MAKE ANY PROMISES OR COMMITMENTS ABOUT THE REFERRAL PROGRAM, SERVICE, OR PLATFORM, SUCH AS THE SPECIFIC FUNCTION OF THE REFERRAL PROGRAM, OR ITS RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. THE PLATFORM AND SERVICES ARE PROVIDED “AS IS”. TO THE EXTENT PERMITTED BY LAW, TENDO EXCLUDES ALL WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED. TENDO EXPRESSLY DISCLAIMS THE WARRANTIES OR CONDITIONS OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
    15. Assignment. You may not assign, sell, transfer, delegate or otherwise dispose of, whether voluntarily or involuntarily, by operation of law or otherwise, this Agreement or any or its rights or obligations under this Agreement without Tendo's prior written consent. Tendo may freely assign this Agreement or any of its rights or obligations under this Agreement without your consent.
  101. GENERAL PROVISIONS
  102. No failure, omission, or delay on the part of Tendo in exercising any right or power under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power preclude any further exercise thereof. Acceptance by Tendo of any payment after its Due Date or after an Event of Default has occurred or after legal proceedings have been commenced against the Active User shall not constitute an extension of time for payment or a modification or novation of the terms of this agreement or in any way prejudice Tendo.
  103. Tendo shall be entitled to sell, transfer, or assign any of its rights and obligations hereunder to any person, company, or entity without the consent of the User/Active User. Any such sale, assignment, or transfer shall conclusively bind the User/Active User. The User/Active User shall be bound to fulfill and perform all his/her obligations to such transferee or assignee, including the payment of the installments. The transferee or assignee shall have the authority of the User/Active User to collect the due amount. The User/Active User for this purpose waives any rights he/she may have under Article 1634 of the New Civil Code of the Philippines, Republic Act No. 386.
  104. The User/Active User shall not assign or transfer its rights or obligations hereunder without the prior consent of Templetech, which consent shall not be unreasonably withheld.
  105. In any dispute arising out of or in connection with this Agreement, the entries made in the accounts maintained by, and the records of, Tendo are prima facie evidence of the matters to which they relate, absent any manifest error.
  106. In the event of a dispute, both parties agree to attempt resolution through mediation before resorting to legal action.
  107. If mediation fails, disputes shall be resolved through arbitration or the courts of Pasig City, Metro Manila.
  108. If any provision of this Agreement is held to be invalid, illegal, or unenforceable in any respect under any applicable law, such invalidity, illegality or unenforceability shall not affect any other provision of this Agreement. This Agreement shall be reformed, construed, and enforced to the fullest extent possible as if such invalid, illegal, or unenforceable provision had never been included.
  109. Tendo reserves the right to amend these Terms at any time. Significant changes that materially affect your rights or obligations shall be communicated via email or posted on our website before implementation. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
  110. Any dispute arising from this Agreement shall be brought exclusively in the courts of Pasig City, Metro Manila.
  111. All notices, demands, or other communications required or permitted to be given or made by Tendo to the Applicant/User/Active User hereunder shall be in writing and shall be delivered either personally, by registered post, by text message or by electronic mail to the address and contact details as provided by you upon registration with the Tendo Platform; provided, that any changes therein must be reflected by the User/Active User in the Tendo Platform, or through general announcements in its website www.tendo.ph or social media and other channels.
  112. For inquiries, complaints, or assistance, all communications or notices to be given or made by the Applicant/User/Active User to Tendo shall be in writing and shall be delivered either personally, by registered post, or by electronic email to:

  113. This Agreement shall be governed and constructed following the laws of the Republic of the Philippines.
  114. ACCEPTANCE
  115. These Terms, along with the Loan Agreement, Disclosure Statement, Privacy Notice, and any other related documents, constitute the entire agreement between the Borrower and Tendo.
  116. No verbal or written statements outside of this agreement shall modify its terms unless explicitly agreed to in writing by both parties.
  117. Applicant/User/Active User confirms having read and understood the entire Templetech’s T&Cs. Templetech may, at any time update this T&Cs and the continued use of the Services constitutes the Applicant/User/Active User’s agreement to be bound by the terms of any such amendment or variation. Templetech will take all reasonable measures to notify you of any such changes.
